By-Laws of Boswell High School Senior Celebration
Article I. Name
The name of the organization is Boswell High School Senior Celebration. Activities shall be
conducted in the name, or in the shortened name, Senior Celebration.
Article II. Organization
A. The organization is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (C) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
B. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (C) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(C) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Article III. Objective
The objective of Boswell High School Senior Celebration is to provide a drug, alcohol
and tobacco free event that is well supervised with proper security providing great
entertainment, fantastic food and festivities and door prizes to offer all Boswell High
School graduates a safe environment to create lasting memories of high school years,
classmates and friends
Article III. Membership
A. Membership of Senior Celebration is open to any person, parent or guardian interested in supporting and participating in the activities of this organization.
B. Members will use their best efforts to provide a fun and suitable alternative for our graduating seniors.
C. No dues are required for membership and participation is strictly voluntary.
Article IV. Officers
A. The officers shall be a Chairman, Co-Chairman(s), Secretary and Treasurer, and Junior Class Representative.
B. All officers shall be elected at the initial organization meeting for the year’s graduating senior class.
C. The officers shall be the Executive Board of Boswell High School Senior Celebration.
Article V. Duties of Officers
A. The Chairman/Co-Chairman(s) shall preside at all meetings of Boswell Senior Celebration and of the Executive Board. The Chairman or Co-Chairman shall appoint all committees and see that the affairs of the organization are conducted in an orderly and businesslike manner. The Chairman shall secure contracts for the party facility and any other entities hired for the party. The Chairman shall receive all correspondence mailed to Boswell High School and ensure open communication between the school and organization and forward correspondence to the appropriate officer. The Chairman will follow up on all committees and their progress.
B. The Secretary shall make a record of all meetings of Senior Celebration and its Executive Board and shall be responsible for all correspondence. Copies of the minutes shall be provided to all officers.
C. The Treasurer shall collect all monies due to Senior Celebration and deposit such monies as soon as possible in the Senior Celebration account. The Treasurer shall make all necessary expenditures on behalf of the organization and shall sign all checks. The Treasurer shall make a report of receipts, expenditures and cash balances in writing at each of the regular meetings.
D. Junior Class Representative shall represent the succeeding year’s Senior Class.
Article VI. Organizational Meeting
The Chairman shall schedule the meetings of each year’s Senior Celebration organization.
Such notification shall be sent to the parents and or guardians of each upcoming seniors at
Boswell High School.
Article VII. Meetings
A. Regular meetings of Boswell Senior Celebration shall be held at least monthly at Boswell High School and at a time and date to be determined by chairman and membership. Members present shall constitute a quorum.
B. Special meetings of the membership may be called by a majority of the Executive Board with notice by mail, email or telephone to the members of the organization.
C. The Executive Board shall meet before general meetings as necessary. A majority of officers shall constitute a quorum.
Article VIII. Finance and Administration
A. No part of the net earnings of Boswell High School Senior Celebration shall insure to the benefit of or be distributed to members of officers of Boswell Senior Celebration.
B. The fiscal accounting period shall be from August 1st to July 31st each year.
C. All expenditures of more than $250 must be approved by the Executive Board and then passed by a majority vote of the membership.
D. The Treasurer and Chairman(s) will be able to sign checks.
Article IX. Seniors
A. Only Boswell graduating seniors will be admitted.
B. The student ID or driver’s license will be required for admission.
C. No one will be admitted after midnight.
D. Graduates of Boswell High School alternative school who are scheduled to participate in the graduation ceremony will be allowed to attend also.
E. Any senior who leaves early will have to sign out (parent will be called), will not be allowed to return and will not be eligible for any prizes.
Article X. Residual Prizes
In the event there are undistributed prizes at the conclusion of the Senior Celebration those
prizes will be distributed in any manner the Executive Committee determines is reasonable.
All prizes not distributed at the graduation party shall be passed to the succeeding years
Senior Celebration organization.
Article XI. Residual Funds
A. All funds not expended for the Boswell Senior Celebration graduation party shall be passed to the succeeding year’s Senior Celebration organization. While every effort
will be made to give the succeeding organization a reasonable amount for the beginning
balance, it is the intent of the current year’s Senior Celebration to use whatever of its
funds necessary to insure a successful graduation party.
B. Upon dissolution of the organization, assets shall be distributed for one or more exempt
purposes within the meaning of section 501C (3) of the Internal Revenue code, or
corresponding section of any future tax code, or shall be distributed to the federal
government, or to a state or local government for a public purpose. Remaining assets may
be distributed to Boswell High School to be used on behalf of the senior students
providing the organization is tax exempt under the provisions of section 501C (3). Any
such assets not disposed of shall be disposed of by the Court of Common Pleas of the
county in which the principal office of the organization is then located, exclusively for
such purposes or to such organization or organizations, as said Court shall determine,
which are organized and operated exclusively for such purposes.
Article XII. Amendment
These By-Laws may be amended at any regular meeting of Senior Celebration by a vote of
two-thirds of the members present. Copies of the By-Laws shall be kept by all officers of
Boswell High School Senior Celebration and the Principal and be made available to any
member wanting a copy of them.
Article XIII. Purpose of By-Laws
It is the sole purpose of these By-Laws to provide guidelines for the volunteers of parents,
guardians and others interested to see that the graduating seniors of Boswell High School
have the opportunity to celebrate the evening with an all night, alcohol/drug and tobacco free
party. No liability shall attach to either the members or the officers of Boswell Senior
Celebration because of the adoption of these By-Laws, or because of their participation in the
Boswell Senior Celebration volunteer efforts.
